Terms of Service

1. Acceptance of Terms

By accessing or using the Flock application and related services (the "Service") operated by Covenant Labs LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of a church, organization, or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

2. Description of Service

Flock is a mobile-first, multi-tenant SaaS platform for church community group management. The Service provides features including but not limited to: prayer wall management, AI-powered photo attendance, group chat, event and RSVP management, at-risk member detection, pastoral intelligence, and administrative dashboards.

The Service is available as a native iOS application, a Progressive Web App (PWA), and an administrative web panel. Features and availability may vary by platform.

3. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You may register using Google OAuth or email and password authentication.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that provide false or misleading registration information.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any purpose other than legitimate church or community group management
  • Upload, transmit, or distribute content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to other organizations' data, accounts, or systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated scripts, bots, or scrapers to access the Service without our express permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the facial recognition features for any purpose other than group attendance within the Service
  • Collect personal information of other users without their consent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

5. Church Data Ownership

Your church owns its data. All content uploaded, created, or stored through the Service by your organization — including prayer requests, attendance records, member information, chat messages, and event data — belongs to your organization.

We do not claim ownership of your data. We are a custodian of your data and process it solely to provide the Service to you.

You grant us a limited, non-exclusive license to:

  • Store, process, and display your data as necessary to provide the Service
  • Create anonymized, aggregate analytics that cannot identify your organization or members
  • Use your data to improve the Service, including training AI models on anonymized data

Upon termination of your account, you may request a full export of your data. We will provide the export within 30 days of the request.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Covenant Labs LLC and is protected by copyright, trademark, and other intellectual property laws.

The Flock name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Covenant Labs LLC. You may not use these marks without our prior written permission.

Nothing in these Terms transfers any intellectual property rights from us to you, except the limited right to use the Service as described in these Terms.

8. Subscription and Payment

Flock offers both free and paid subscription plans. The free plan includes all features with limits on the number of groups and members. Paid plans increase these limits.

  • Free Plan: 1 group, up to 10 members. No credit card required. Available indefinitely.
  • Paid Plans: Billed monthly or annually as indicated at the time of purchase. Prices are subject to change with 30 days' notice.
  • Upgrades: Take effect immediately. You will be charged the prorated difference for the remainder of your billing period.
  • Downgrades: Take effect at the end of your current billing period. If your usage exceeds the limits of the new plan, you may need to reduce your groups or members before the downgrade takes effect.
  • Cancellation: You may cancel your subscription at any time. Access to paid features continues through the end of your current billing period. Your data is retained and accessible on the free plan.
  • Refunds: We do not offer refunds for partial billing periods. If you believe you were charged in error, please contact us at [email protected].

9. Termination

You may terminate your account at any time by contacting us at [email protected] or through the account settings in the Service.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

  • You breach these Terms
  • You use the Service for unlawful purposes
  • Your use poses a security risk to the Service or other users
  • We are required to do so by law

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination. After 30 days, your data may be permanently deleted.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • AI features (photo attendance, prayer sentiment, at-risk detection) will produce perfectly accurate results in all circumstances
  • The Service will meet all of your requirements

AI-powered features are tools to assist church leaders, not replacements for pastoral judgment. Attendance identification, sentiment analysis, and at-risk detection should be reviewed and confirmed by leaders before taking action.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Covenant Labs LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "effective date" above. For significant changes, we will also provide notice via email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Covenant Labs LLC regarding the Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
